強化控制權機制已發展多年,其在實務上之需求甚廣,經營者可利用股權及表決權之安排,達到長時間掌控公司之目的,雖可使創始者在經營之初不受資金挹注而喪失經營權,得以長期計畫經營公司,惟當經營權不受任何外力所動搖時,對於股東或一般投資大眾,係有相當程度之威脅甚或是危害,故強化控制權機制需設有完善之法規範,以杜絕控制者濫用其控制權而有損股東之權益。本文首先以控制權與公司治理之關係揭開序幕,繼而介紹控制權強化之常見類型與利弊分析,再審視我國現行就控制權強化所制定之相關法規範,並輔以實務上使用強化控制權機制之相關案例加以探討。此外,更進一步研究外國對於控制權強化之立法政策與修法趨勢,以及外國實務運用強化控

制權機制之案例,供為我國借鑑及學習。然而,在強化控制權機制下,若無完善之監理機制,恐會滋生諸多弊端,故其監理及配套措施之議題則更顯重要,先釐清監理之難處所在,並從設計股權之方式作為緩和,再從事前之資訊揭露進行約束,最後賦予少數股東得確實獲得救濟之管道,以期能有效降低強化控制權機制所帶來之風險。最後,本文重新檢討我國現行法規範下仍有不足及待改善之處,並給予修正之方向,在公司自治與法規範間尋得平衡之點,共同建立更為妥適且健全之商業環境與法規範。
