法人有無犯罪能力的議題向來在學界爭論已久，我國受到德國法的影響，多數學說採取否定說。然而近年以來隨著食安事件、環境汙染事件不斷發生，部分學者開始重新反省法人刑事責任的理論基礎。本文認為從刑法來規制法人不法行為有其必要性，透過將法人不法行為犯罪化達到預防企業不法活動的效果。 然而，因為當代的刑法體系預設的規範主體主要是針對自然人，如何將法人納入既有規範當中需要進一步解釋。本文提出「集體意志論」的看法嘗試做出理論上的說明，尤其是法人行為的建立與法人罪責的說明。 另外，本文先從規制法人規範的歷史演變，爬梳我國既有的規範並指出現行規範的不足之處。再從比較法的觀察，介紹當代英美、歐
